Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Everseed Ventures ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must strictly stop using the application immediately.

3. Service Availability & No SLA

Our application relies on third-party infrastructure, including but not limited to Google Cloud Platform, Firebase, and OpenAI API. We do not control these services and cannot guarantee their availability.

We are not liable for any downtime, data loss, or service interruption caused by third-party outages, maintenance, or technical failures. There is no Service Level Agreement (SLA) guaranteed for this application.

4. Limitation of Liability

To the maximum extent permitted by law, Everseed Ventures shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.

5. User Responsibilities & Indemnification

You agree to indemnify and hold harmless Everseed Ventures from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of the AI-generated content.
• Your violation of these Terms or applicable laws.
• Your violation of third-party rights (e.g., copyright infringement in your prompts or outputs).

6. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

7. Intellectual Property Rights

Service Content: The Application, including its code, design, features, and functionality, is owned by Everseed Ventures and is protected by international copyright, trademark, and other intellectual property laws.

User Content: You retain ownership of the content you generate using the Service. However, by using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process your content solely for the purpose of providing and improving the Service.

8. User Conduct & Prohibited Acts

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Generating content that is defamatory, obscene, pornographic, offensive, hateful, or promotes violence or discrimination.
• Reverse engineering, decompiling, or attempting to extract the source code of the Application.
• Using any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
• Interfering with or disrupting the integrity or performance of the Service or the data contained therein.

9. Account Security

You are responsible for maintaining the confidentiality of your account credentials (email and password). You agree to notify us immediately of any unauthorized use of your account. Everseed Ventures is not liable for any loss or damage arising from your failure to protect your account security.

10. Third-Party Links & Services

The Service may contain links to third-party websites or services (such as OpenAI, Google, Stripe) that are not owned or controlled by Everseed Ventures. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Everseed Ventures shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

11. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in San Francisco, California, using the English language. You and Everseed Ventures agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
